Welcome to Arzule. These Terms of Service ("Terms") govern your access to and use of the Arzule platform, website, and services (collectively, the "Service") provided by Arzule Inc. ("Arzule," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

Arzule is a B2B partnership intelligence platform that uses AI-powered research to help businesses discover and qualify potential strategic partners. Our Service includes:

  • Automated research and discovery of potential business partners

  • AI-powered validation and scoring of partnership fit

  • Contact information and outreach recommendations

  • Integration with CRM and other business tools

  • Dashboard and reporting features

3. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your password secure and confidential

  • Accept responsibility for all activities under your account

  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscription and Payment

4.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

4.4 Price Changes

We may change our prices with 30 days' notice. Price changes will apply to subsequent billing periods.

5. Acceptable Use

You agree not to use the Service to:

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your content solely as necessary to provide and improve the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) the results obtained from the Service will be accurate or reliable; (c) any errors will be corrected; or (d) the Service will meet your specific requirements.

Partnership Intelligence Disclaimer: The partnership recommendations and company information provided through our Service are generated using AI and publicly available data. We do not guarantee the accuracy, completeness, or suitability of any recommendations. You are solely responsible for evaluating and pursuing any potential partnerships.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARZULE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service

  • Any unauthorized access to or use of our servers or your personal information

  • Any interruption or cessation of the Service

  • Any errors, bugs, or viruses transmitted through the Service

  • Any third-party content or conduct

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Arzule and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your content.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Arzule regarding the Service.

  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

  • Notices: We may provide notices to you via email, posting on the Service, or other reasonable means.
