ARZULE TERMS OF SERVICE

Flow Intel Platform Inc. Welcome to the online service of Flow Intel Platform Inc., operating as Arzule ("Arzule," "we," or "us"). These terms of service (these "Terms") explain the terms by which users may use our online and/or mobile services, website, and software provided on or in connection with the service and platform (collectively, the "Services").

By accessing or using the Services, by clicking a button or checking a box marked "I Agree" (or something similar), you signify that you have read, understood, and agree to be bound by these Terms, whether or not you are a registered user of our Services.

We may, with or without prior notice, change the Services, stop providing the Services or features of the Services, or create usage limits for the Services. We may permanently terminate or temporarily suspend your access to the Services without liability if you violate any provision of these Terms.

3. Services Usage and Restrictions

3.1 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes only.

3.2 Restrictions

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Use the Services to transmit any malicious code
  • Resell or redistribute the Services without our prior written consent

4. Intellectual Property

The Services and all content and materials included therein, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the property of Arzule or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5. User Content

You retain ownership of any content you submit through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of providing and improving the Services.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARZULE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8. Indemnification

You agree to indemnify, defend, and hold harmless Arzule and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Modified" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
